2. Description of Service

Demandary provides an autonomous marketing operations platform that connects to advertising accounts and provides AI-powered optimization, analytics, and automation services. The service operates in three modes: Auto, Approve, and Manual.

3. Account Registration

To use our services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Be at least 18 years old or the legal age in your jurisdiction
• Have the authority to bind your organization to these terms

4. Platform Connections

By connecting your advertising accounts (Meta, Google, etc.) to Demandary, you authorize us to access, analyze, and modify your campaigns according to your selected mode and guardrails. You represent that you have the authority to grant such access.

5. User Responsibilities

You agree to:

• Use the service in compliance with all applicable laws
• Configure appropriate guardrails and safety limits
• Review AI-generated recommendations before execution (in Approve mode)
• Not use the service for fraudulent or deceptive advertising
• Comply with advertising platform policies
• Maintain accurate billing information

6. AI-Powered Features

Our AI systems provide recommendations and, when authorized, execute changes to your campaigns. While we strive for optimal results, you acknowledge that:

• AI recommendations are based on available data and may not guarantee specific outcomes
• You are ultimately responsible for campaign performance and compliance
• We recommend reviewing significant changes before execution
• You should set appropriate guardrails to protect your budget

7. Fees and Payment

• Fees are based on your selected plan and usage
• Billing occurs monthly or annually as selected
• All fees are non-refundable except as stated in our refund policy
• We may change pricing with 30 days notice
• You are responsible for applicable taxes

8. Intellectual Property

The Demandary platform, including its software, design, and content, is owned by us and protected by intellectual property laws. You retain ownership of your data and content.

9. Limitation of Liability

To the maximum extent permitted by law, Demandary shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the service.

Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

11. Termination

Either party may terminate the agreement at any time. Upon termination, your access to the service will be disabled and your data will be handled according to our data retention policy.

12. Changes to Terms

We may modify these terms at any time. Material changes will be notified via email or platform notification at least 30 days in advance. Continued use after changes constitutes acceptance.

13. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

14. Dispute Resolution

Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules. You waive the right to participate in class actions.
